Tesla Optimus Pre-Order Sale Agreement
This pre-order agreement (hereinafter the "Agreement") is a legally binding document entered into between Tesla, Inc. (hereinafter "Tesla", "We", "Us" or the "Seller") and the individual or legal entity placing this pre-order (hereinafter "You" or the "Buyer"), and sets out the terms for pre-ordering the humanoid intelligent robot Tesla Optimus (hereinafter the "Product"). By placing a pre-order and clicking "I Agree", you confirm that you have read this Agreement carefully, understand it, and unconditionally accept all its terms.
1. Subject of the Agreement and Deposit
1.1. You place a pre-order for the Product through Tesla's official website by providing accurate contact information and paying a deposit of USD 250 (hereinafter the "Deposit").
1.2. The Deposit reserves your place in the queue and is credited toward the final payment. Its usage is governed by Section 10 of this Agreement.
1.3. After Tesla notifies you that your order is ready for processing, you must pay the corresponding prepayment by the deadline specified in the notification. The amount of the prepayment and the estimated delivery time depend on the selected queue:
- Paying 90% of the Product's cost → estimated delivery in 2 months from payment;
- Paying 60% → estimated delivery: February 2026;
- Paying 30% → estimated delivery: February 2027.
Details will be confirmed in your individual invoice after placing the pre-order.
2. Order Confirmation and Final Price
2.1. Your order is deemed accepted only after you receive a confirmation email from Tesla.
2.2. All key parameters—selected model, payment method, delivery address—are provided when ordering online and appear in the invoice. They are not specified in this Agreement.
2.3. The final price of the Product, including applicable taxes, fees, discounts, shipping, and insurance, is stated in your invoice.
3. Payment
3.1. You agree to pay in full accordance with the invoice and the payment method you chose.
3.2. Payment is also possible using approved cryptocurrencies (Bitcoin, Ethereum, Cardano). A 15% discount off the base price (excluding taxes and fees) applies if the cryptocurrency requirements are met.
3.3. Payments are considered complete only after Tesla confirms receipt of funds.
3.4. You agree that the prepayment amount affects the delivery date. Your invoice will specify the queue and delivery date based on your chosen prepayment level.
4. Sales Limitations & Age
4.1. You must be at least 18 years old. By placing an order, you confirm you have legal capacity.
4.2. Tesla reserves the right to:
- limit the number of Products per buyer;
- cancel the pre-order (with deposit processing);
- suspend the order if there are concerns about legal compliance, sanctions, or export control.
5. Delivery & Transfer of Risk
5.1. Delivery is made to the address provided. Timing depends on production schedules, logistics, and your queue position.
5.2. Risk of loss or damage transfers to you:
- upon handing over to the carrier (for delivery);
- upon receipt at the Tesla warehouse (for pickup).
5.3. You are responsible for all shipping, packaging, customs, insurance, and other associated costs unless otherwise stated in the invoice.
6. Software & AI Updates
6.1. The Product has an automatic firmware/AI update system that operates remotely (OTA) without requiring your consent.
6.2. These updates may alter features, behavior, or characteristics of the Product. They do not entitle you to a refund or compensation, except where covered by warranty.
7. Warranty
7.1. Tesla offers a limited 60-month warranty from the delivery date.
7.2. It covers manufacturing and material defects.
7.3. It does not apply to:
- damage from misuse;
- unauthorized modifications;
- third-party interventions;
- natural disasters or acts of God;
- force majeure events.
8. Export Control
8.1. You confirm you will not export the Product to any country or individual restricted by U.S. law (including OFAC, BIS, EAR, or UN sanctions).
8.2. You must comply with all applicable export control regulations, including bans on shipments to:
- Iran, North Korea, Syria, Cuba, Crimea, etc.;
- individuals listed on SDN, Entity List, or equivalent lists.
9. Intellectual Property
9.1. All rights to the Product—including hardware, software, AI, design, and database—belong to Tesla.
9.2. You are granted a non-exclusive, limited license to use the Product in accordance with its user documentation.
9.3. Decompiling, modifying, reverse-engineering, or distributing the Product or its components is prohibited.
10. Deposit Policy
10.1. The USD 250 Deposit is not refundable, except in the following cases:
- Tesla cancels your order;
- delivery becomes impossible due to circumstances beyond your control;
- you notify Tesla Optimus team ([email protected] or [email protected]) within 7 business days from placing the pre-order;
- as required by applicable U.S. law.
10.2. Any processing related to the Deposit will be made using the same payment method used at the time of placing the order.
11. Amendments
11.1. Tesla may amend this Agreement:
- Material changes become effective only after your consent;
- Non-material changes become effective once published on Tesla's website.
12. Force Majeure
Tesla is not liable for delays or failures resulting from circumstances beyond its control, including natural disasters, epidemics, wars, supply chain disruptions, government actions, etc.
13. Notices
All notices are sent to the email address you provided. You are required to keep your contact information up-to-date.
14. Governing Law & Dispute Resolution
14.1. This Agreement is governed by the laws of the State of California, USA.
14.2. Disputes are first resolved through negotiations.
14.3. If no agreement is reached, disputes are submitted to the competent courts in California.
